mindpact End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("you", "Licensee") and Mert Çakmak, Kastanienweg 10, 52074 Aachen, Germany ("Licensor", "we"), e-mail: contact@mindpact.app, governing your use of the mindpact desktop software, including its free and Pro feature tiers, associated documentation, and updates (together, the "Software").

By installing or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

Purchases are processed by Sold through Link, LLC (formerly Lemon Squeezy, LLC), a Stripe company, as merchant of record. Your contract of sale (including payment, invoicing, taxes, and refunds) is with Lemon Squeezy and governed by their terms; this Agreement governs your license to use the Software.

1. License Grant

Subject to this Agreement and, for Pro features, payment of the applicable one-time license fee, we grant you a personal, non-exclusive, non-transferable license to install and use the Software:

The license is granted to you as an individual. It may not be sold, rented, lent, sublicensed, or transferred to another person.

2. License Activation

Pro features are unlocked by activating a license key. Activation contacts our licensing service to validate the key and register the device. You may deactivate a device to free an activation slot. Attempting to circumvent, disable, or tamper with the license mechanism is a material breach of this Agreement.

3. Updates

Your Pro license includes all updates to the Software (bug fixes, security updates, and feature updates for the mindpact product you purchased) at no additional charge, for as long as we offer the Software. Statutory update obligations owed to consumers under applicable law (including § 327f of the German Civil Code) remain unaffected.

We may in the future release separate products or major new versions as distinct offerings; this does not affect your license to, and updates for, the Software you purchased.

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in the Software, including all intellectual property rights. No rights are granted except as expressly stated in this Agreement.

6. Open-Source Components

The Software includes third-party open-source components, including the Qt framework via PySide6, licensed under the GNU Lesser General Public License v3 (LGPL-3.0), and other components listed in the file THIRD_PARTY_LICENSES.txt distributed with the Software.

Nothing in this Agreement limits or restricts any rights you have under the applicable open-source licenses. In particular, the LGPL-licensed libraries are provided as separate, user-replaceable files, and you may replace them with modified versions in accordance with the LGPL.

7. Privacy; Local-First Operation

The Software is designed to store your activity data locally on your device. License activation transmits your license key and a device identifier to our licensing service. For details on data processing, see our Privacy Policy at https://mindpact.app (Datenschutzerklärung).

8. No Medical or Therapeutic Advice

The Software is a self-observation and productivity tool. It is not a medical device and does not provide medical, psychological, or therapeutic advice, diagnosis, or treatment. It is not intended to treat, cure, or prevent any condition, including behavioral or media-use disorders. If you have concerns about your health or media use, consult a qualified professional.

9. System Requirements; Testing

The Software requires the system environment stated on the product page at https://mindpact.app (currently: Microsoft Windows, 64-bit; certain features such as website blocking require administrator privileges). The free tier is available so that you can verify compatibility with your system before purchasing Pro.

10. Warranty

If you are a consumer in the European Union, you have statutory rights regarding the conformity of digital products (including §§ 327 et seq. of the German Civil Code), which are not limited by this Agreement. Your statutory claims arising from the sales contract are directed at the merchant of record as your contractual seller; statutory rights against us remain unaffected to the extent they apply.

To the maximum extent permitted by applicable law, we make no warranties or representations beyond those required by statute, and any implied warranties are disclaimed only insofar as such a disclaimer is permitted with respect to you.

11. Limitation of Liability

We are liable without limitation for damages caused by intent or gross negligence, for injury to life, body, or health, under the German Product Liability Act (Produkthaftungsgesetz), and in case of fraudulent concealment of a defect or an assumed guarantee.

In cases of slight negligence, we are liable only for breach of essential contractual obligations (obligations whose fulfilment makes the proper performance of this Agreement possible in the first place and on whose fulfilment you may regularly rely), and such liability is limited to the foreseeable damage typical for this type of contract.

Any further liability is excluded. The above limitations also apply in favour of our legal representatives and agents.

12. Term and Termination

This Agreement is effective until terminated. It terminates automatically if you materially breach it and, where such breach can be remedied, fail to remedy it within 14 days of notice. Upon termination, you must cease using the Software and delete all copies. Sections 5, 6, 8, 10, 11, and 13 survive termination.

13. Governing Law

This Agreement is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of habitual residence.

14. Refunds

Purchases are made from Lemon Squeezy as merchant of record; refund requests are handled in accordance with Lemon Squeezy's terms and applicable law. Your statutory rights remain unaffected.

15. Miscellaneous

If any provision of this Agreement is held invalid, the remaining provisions remain in effect. This Agreement constitutes the entire agreement between you and us regarding the Software license. We may update this Agreement for future versions of the Software; the version accepted at installation applies to your copy.
